Sorry should have been clearer, he wasn't upgrading via autoloot.

A few more basic questions to be sure:
Marnid has "enable autolooting" turned on in his autoloot settings?
Does he have sufficient strength to equip the things you were expecting him to pick up? (even with encumbrance penalties?)

He currently has 13 for strength, so I'd assume that, that is enough. Considering the other companions are getting
