The difference is the location you siege and how many troops are there.
If you´re able to win the first round by killing all the enemies replacements you have taken the walls and are able to progress through the city - which is round two for towns - the fight in the streets, with significantly less oppositoin - and head for the keep, stage 3 of the fight.
Castles don´t have streets, so you end up directly at the keep if you are able to clear the walls.
Since the amount of troops you´ve got to slaughter depnds on your actual battlesize most people run out of garrison before they´ve killed enough troops to enter stage 2 of the siege - if they survive that long.
The usual limit is about 250 troops for party size 150 - the same you need to kill/defeat before you break an hostile siege attempt.
