To build an iron mine, you have to visit an Iron Mining Spot (of course 
), and have a set of tools placed in the upper left-hand corner of your inventory (it doesn't have to be a complete set). You will be more likely to be successful (and avoid serious injury) if you have increased your mining skill by taking lessons and training at a Miners Guild in a town. Hiring Novice Miners at the Guild will also help (you can increase their rank and ability as they gain experience).
To build a Headquarters, you have to meet the Guild Master and have 10000 denars. You may have to "take a walk around the streets" to find the Guild Master.
